1. Acceptance of Terms

By accessing and using AuraStay ("Service", "Platform"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

AuraStay is a Property Management System (PMS) designed to help vacation rental property managers and hosts manage their operations. These Terms govern your use of our platform, including all features, integrations, and services provided.

2. Service Description

AuraStay provides:

• Property and listing management
• Reservation and booking management
• Calendar synchronization across booking channels
• Guest communication tools
• Task and maintenance management
• Financial tracking and reporting
• Automation tools for repetitive tasks
• Optional direct booking website builder
• Integrations with third-party booking platforms

3. Account Registration and Security

To use AuraStay, you must:

• Be at least 18 years old
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

You are solely responsible for maintaining the confidentiality of your password and for restricting access to your account. AuraStay is not liable for any loss or damage arising from your failure to protect your account credentials.

4. Third-Party Integrations

AuraStay integrates with third-party booking platforms including Airbnb, Booking.com, VRBO, and others. By using these integrations:

• You authorize AuraStay to access your accounts on these platforms on your behalf
• You agree to comply with the terms of service of each connected platform
• You understand that each platform has its own privacy policy governing your data
• You are solely responsible for maintaining your connections to third-party platforms

4.1 Disclaimer of Liability for Third-Party Services

AuraStay is not responsible for, and disclaims all liability regarding:

• Any loss of data, reservations, or revenue resulting from third-party service failures
• Double bookings or calendar synchronization failures due to third-party API issues
• Changes to third-party platform terms, APIs, or functionality
• Suspension or termination of your accounts on third-party platforms
• Your failure to maintain active connections to your booking channels
• Actions taken by guests or third-party platforms

We do not endorse, warrant, or assume responsibility for any aspect of third-party services. Your use of third-party integrations is at your own risk.

5. Data Processing Agreement

When you use AuraStay to process personal data (such as guest information):

• You are the Data Controller: You determine the purposes and means of processing guest personal data
• AuraStay is the Data Processor: We process personal data on your behalf according to your instructions
• We will process personal data only in accordance with your documented instructions
• We maintain appropriate technical and organizational security measures
• We will assist you in responding to data subject requests (access, deletion, portability)
• We will notify you without undue delay of any personal data breach

6. User Responsibilities

As a user of AuraStay, you are responsible for:

• Complying with all applicable laws, including data protection and privacy laws (GDPR, CCPA, etc.)
• Ensuring you have proper legal basis to process guest personal data
• Providing guests with appropriate privacy notices about your data processing
• Responding to data subject requests from your guests within required timeframes
• Maintaining accurate and up-to-date information in your account
• Keeping your third-party channel connections active and properly configured
• Reviewing and approving automated messages before they are sent
• Complying with the terms of service of all connected booking platforms

7. Automations and Messaging

AuraStay provides automation features that can send messages and perform tasks on your behalf:

• All automations require your explicit activation - nothing runs without your consent
• You can pause, modify, or disable any automation at any time
• You have full control over message content and timing
• A complete audit log of all automated actions is maintained
• You are responsible for the content of messages sent through automations

AuraStay is not responsible for any consequences resulting from automated messages that you have configured and activated.

8. Credit System and Payments

Our service may operate on a credit-based system. Credits purchased through our platform are valid for 2 years from the date of purchase. All payments are processed securely through Stripe, our payment processing partner.

Once a payment is successfully processed, credits will be immediately added to your account. We do not offer refunds for purchased credits. The price and availability of credit packages may change without prior notice.

Free credits may be provided as part of promotional offers or monthly allocations. These credits are subject to different terms and expiration periods, which will be clearly communicated at the time they are issued.

9. Website Builder (Optional Feature)

AuraStay offers an optional website builder feature that allows you to create a direct booking website:

• This feature is optional and complementary to your OTA listings
• Your booking channels (Airbnb, Booking.com, etc.) remain your primary booking sources
• We do not compete with OTAs for bookings - we help you manage all channels efficiently
• You are responsible for the content published on your direct booking website
• Direct bookings through your website are processed separately from OTA bookings

10. Prohibited Uses

You agree not to use AuraStay to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Send spam or unsolicited communications
• Scrape, collect, or harvest data for unauthorized purposes
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorized access to any systems
• Use the Service to build a competing product
• Resell or redistribute the Service without authorization
• Circumvent any security measures or rate limits

11. Intellectual Property

AuraStay and its original content, features, and functionality are owned by AuraStay and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you upload to the Service. By uploading content, you grant AuraStay a non-exclusive, worldwide, royalty-free license to use, display, and process that content solely for the purpose of providing the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. AURASTAY MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of any information obtained through the Service
• Warranties that defects will be corrected

We are not responsible for any errors, omissions, or inaccuracies in the Service, or for any decisions made based on information provided through the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURASTAY SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, goodwill, or other intangible losses
• Damages arising from third-party service failures or API changes
• Lost reservations, double bookings, or calendar synchronization issues
• Any matter beyond our reasonable control

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to AuraStay in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless AuraStay, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your violation of any applicable laws; or (e) content you upload or transmit through the Service.

15. Term and Termination

These Terms remain in effect while you use the Service. We may terminate or suspend your account immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the Service

You may terminate your account at any time by contacting us. Upon termination, your right to use the Service will cease immediately. We may retain certain data as required by law or for legitimate business purposes.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If resolution cannot be reached, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the new Terms.
